(1) The registration fee for securities is based on an estimate of the Maximum Aggregate Offering Price of the securities, assuming the sale of the maximum number of shares at the highest expected offering price, and such estimate is solely for the purpose of calculating the registration fee pursuant to Rule 457(o).

The representative’s warrants are exercisable at a per share exercise price equal to 125% of the public offering price per share of the Class A common stock offered hereby. As estimated solely for the purpose of calculating the registration fee pursuant to Rule 457(g) under the Securities Act, the proposed maximum aggregate offering price of the representative’s warrants is $287,500, which is equal to 125% of $230,000 (4% of $5,750,000).
